Terms of Service

1. Introduction and Acceptance

Kairo ("we", "us", or "our") provides the Kairo application ("the Service"). By installing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the Service.

These terms apply to all users of the Service, including merchants who install the app on their Shopify stores.

2. Eligibility and Business Use

Kairo is a business-to-business (B2B) service offered exclusively to Shopify merchants for commercial purposes. To use Kairo, you must:

  • Be a Shopify merchant with a valid Shopify store (store owner or authorized staff)
  • Be at least 18 years old
  • Use the Service for business purposes only, not for personal or household use
  • Provide accurate and complete information
  • Maintain the security of your account credentials

Your end-customers (shoppers) are not parties to this agreement. You are responsible for any interactions with your end-customers regarding upsell offers. Kairo merely facilitates your offers to them through Shopify's post-purchase checkout flow.

3. Description of Service

Kairo is a Shopify application that enables merchants to display post-purchase upsell offers to customers immediately after checkout. The Service includes a visual editor for creating offers, analytics dashboard, and related features as described on our website.

4. Access to Shopify Data

By installing Kairo, you authorize us to connect to your Shopify store and access relevant data via Shopify's APIs. This includes store information, products, orders, and customer data as detailed in our Privacy Policy.

We will use this data solely to operate and provide the upsell service to you. We will not use or disclose your store data except as necessary to run the app, in accordance with our Privacy Policy.

5. Pricing and Billing

Kairo uses Shopify's Billing API to charge for the Service. Our pricing model is a combination of a base subscription fee and usage-based charges:

Base Subscription

$8 USD per 30-day billing cycle for core service access.

Usage-Based Charges

Additional fees based on the upsell revenue generated through Kairo. These fees are tiered as described on our Pricing page. The total amount billed per 30-day billing cycle is capped at $999 USD (including the $8 base subscription and any usage-based charges). Current pricing tiers are listed on our Pricing page and may be updated from time to time.

Billing Cycle

All fees are processed via Shopify's billing system on a 30-day recurring cycle. Charges (subscription and usage fees) will appear on your Shopify invoice. All fees are exclusive of applicable taxes unless Shopify indicates otherwise. You are responsible for any applicable taxes, duties, or governmental charges associated with your use of the Service, except where Shopify is required to collect and remit such taxes.

Development Stores

Development stores can use Kairo free of charge. Billing begins when the store transitions to a paid Shopify plan.

Authorization

By approving the app's charge upon installation, you authorize Shopify to bill you the applicable fees. If your usage changes tier levels, you agree that charges may be adjusted accordingly within the billing cycle.

6. Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms. Except for billing errors or incorrect charges, all fees are generally non-refundable and refunds (if any) are issued at our discretion.

7. Support

We offer support to all users on equal terms. You can reach us at support@trykairo.io for help. Discord is provided as a community channel; official support is via email. We do not currently offer paid or priority support tiers—all merchants receive the same level of support.

We aim to respond within a reasonable time, but we do not guarantee any specific response time.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Violate Shopify's terms of service or acceptable use policies
  • Infringe on any intellectual property rights
  • Transmit malicious code, viruses, or interfere with the Service
  • Attempt to gain unauthorized access to the Service or its systems
  • Use the Service to send spam, misleading offers, or deceptive content
  • Copy, reverse engineer, decompile, or attempt to extract source code from the Service
  • Resell, redistribute, or sublicense the Service without authorization
  • Use automated means (bots, scrapers) to access the Service

We reserve the right to terminate your access if your Shopify store is engaged in activity that violates Shopify's policies or applicable law.

9. Intellectual Property

The Service, including its original content, features, functionality, and branding (including the Kairo name and logo), is owned by Kairo and protected by intellectual property laws. You may not use our trademarks without prior written permission.

You retain ownership of your content (products, images, offer configurations) but grant us a limited license to use it as necessary to provide the Service.

10. Third-Party Services

The Service integrates with Shopify's platform and billing system. Your use of Kairo is also subject to Shopify's terms and conditions. We are not responsible for any downtime, issues, or changes attributable to Shopify or other third-party services we utilize.

We are not responsible for third-party payment failures or delays in Shopify's billing system.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE DO NOT GUARANTEE THAT KAIRO WILL MEET YOUR SPECIFIC REQUIREMENTS OR GENERATE ANY SPECIFIC INCREASE IN SALES OR CONVERSION RATES. The Service may occasionally be unavailable or have bugs, and you assume that risk. We are not liable for any loss of revenue, profits, or data arising from any downtime, errors, or misconfigurations of the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

13. Indemnification

You agree to indemnify and hold harmless Kairo and its operator from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

14. Termination

By You: You may terminate your use of the Service at any time by uninstalling the app from your Shopify store.

By Us: We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these terms.

Effect of Termination: Upon termination (uninstallation), your right to use the Service ceases immediately. After you uninstall, future recurring charges will stop through Shopify's billing system; however, charges already incurred (including usage charges) may still appear on your Shopify invoice for the current billing cycle. Your store data will be deleted within 30 days per our Privacy Policy.

Provisions that by their nature should survive termination (such as limitations of liability, indemnification, and governing law) shall survive.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on our website, updating the date above, and if appropriate, notifying you via email or in-app notification. Your continued use of the Service after changes constitutes acceptance of the new terms.

16. Governing Law and Disputes

These terms shall be governed by and construed in accordance with the laws of Serbia, without regard to conflict of law principles.

Any disputes arising from or relating to these terms or the Service shall be resolved in the courts of Serbia. You agree to submit to the jurisdiction of such courts.

17. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
